Preamble and Contractual Framework

These Terms and Conditions of Use (hereinafter the "Terms") define the terms of use of the "SahilPay" service, provided by SAHILPAY SA, a Limited Company with capital of 20.000.000 F CFA, registered under RCCM number MA.BKO.2026.B. 2181 NIF: 085160302F, with its registered office located at Bamako Mali Bacodjicorni contingué a la BIM S.A.

In accordance with the Regulation on payment systems in WAEMU Member States and Instruction No. 008-05-2015 governing the terms and conditions for the activities of electronic money issuers in WAMU Member States, SAHILPAY SA is authorized to issue, manage, and distribute electronic money.

The SahilPay service is provided by SAHILPAY SA (Issuing Society) in partnership with SAHILPAY SA, a Limited Company registered under RCCM number MA.BKO.2026.B. 2181 NIF: 085160302F, with its registered office located at Bamako Mali Bacodjicorni contingué a la BIM S.A.

SAHILPAY SA provides the technical platform and manages a network of clients, sub-distributors, and merchants for commercial operations and electronic money distribution through the "SahilPay" service.

The user of the SahilPay service (Client, Agent, or Merchant), hereinafter referred to as the User, expressly agrees to comply with these Terms, as well as all subsequent modifications, in accordance with SAHILPAY SA and after BCEAO authorization when necessary.

The SahilPay Terms are referred to hereinafter as "the Contract". The Contract defines the conditions under which SahilPay will provide you with electronic money services and mobile applications upon request. These conditions affect your rights and it is your responsibility to read them carefully. By accessing and using the SahilPay Application, you accept the terms and conditions of this Contract.

The act of registration and use of the SahilPay Application signifies that you expressly consent to be bound by this Contract. If you do not agree with the terms and conditions of this Contract set forth below, please do not access the SahilPay Application.

The User's subscription to the SahilPay service by downloading the SahilPay mobile Application implies acceptance of these Terms and Conditions of Use. These may be modified as needed by SAHILPAY SA, in accordance with authorities and after BCEAO authorization when necessary. Continued use of the SahilPay service after modification of these Terms will be considered tacit acceptance of the changes made.

Article 1: Definitions

The words "you" and "your" refer to the person (Natural or Legal) accepting the terms and conditions of this Contract. The words "SAHILPAY SA", "we" and "our" designate SAHILPAY SA, a company registered in Mali and an electronic money issuer registered with the Central Bank of West African States (BCEAO). The word "SahilPay" refers to the name of the mobile Application. “SahilPay Agent”: refers to any authorized professional (natural or legal person) acting as a service point for performing deposits, withdrawals, and client identification on behalf of SahilPay. “SahilPay Merchant”: refers to any professional or business accepting SahilPay as a means of payment for the sale of goods or services. “Client”: refers to the final natural person user holding a SahilPay account for personal use. “User”: generic term designating interchangeably the Client, Agent, or Merchant. “SahilPay Mobile Application”: refers to the application allowing the User to access their SahilPay Account (Client, Agent, or Merchant) using their credentials. “PIN Code”: unique and specific four (4) digit personal and secret code chosen by the User. “SahilPay Account”: refers to the unique Electronic Money account associated with any User, containing essential identification information. “Electronic Money”: monetary value representing a claim on the issuer, stored electronically. “UV”: electronic value unit, 1 UV = 1 CFA Franc.

Article 2: Scope of Application

This Contract applies to the provision of the SahilPay Service and its use by all Users (Clients, Agents, and Merchants).

Article 3: Provisions for Agents and Merchants

3.1 In addition to these Terms, the activity of Agents and Merchants is governed by a specific Contract (Agent Contract or Merchant Contract) defining commercial conditions, commissions, and operational obligations. 3.2 The Agent agrees to rigorously identify each client in accordance with SahilPay KYC procedures before any deposit or account creation operation. 3.3 The Merchant agrees to accept SahilPay payments without additional fees for the client, unless otherwise authorized by regulations. 3.4 Professional accounts (Agent/Merchant) are subject to specific transaction and balance limits, defined based on their activity volume and certification level.

Article 4: Registration Conditions

4.1 Use of the SahilPay Service is subject to the identification of each User upon presentation of an ID document or administrative documents (RCCM, NIF) for legal persons. 4.2 A limited-loading SahilPay Account may be opened for an unidentified User (KYC 1). The maximum total UV amount cannot exceed 200 000 F CFA. 4.3 Assets for an identified User cannot exceed 2 000 000 F CFA for personal accounts, or specific negotiated limits for professional accounts.

Article 5: Service Description

The SahilPay Service allows: - For the Client: Deposits, withdrawals, P2P transfers, merchant payments. - For the Agent: Float management, cash-in/cash-out operations for third parties. - For the Merchant: Payment collection, sales history management. - Public and institutional services: Scholarship, pension, tax, and duty payments.

Article 6: Security and Confidentiality

6.1 The User is solely responsible for protecting their credentials and PIN code. For Agents and Merchants, this responsibility extends to the use of the application by their employees or authorized agents. 6.2 Any transaction validated by PIN code is deemed to have been performed by the account holder or their authorized agents, engaging their full liability.

Article 7: Account Closure

7.1 For Clients, closure can be requested at any time. For Agents and Merchants, notice conditions are defined in their specific contracts. 7.2 SahilPay reserves the right to close any professional account in case of compliance rule violations (fraud, money laundering, non-compliance with rates).

Article 11: Support and Complaints

Dedicated support is available for Clients, Agents, and Merchants at (+223) 76 60 6082 / 90 22 2212 / 94 68 4378 (toll-free) or via email at sahilpayafrique@gmail.com. Agents have a priority support channel for resolving incidents related to float management or transaction errors during cash-in/cash-out operations.

Article 17: Data Protection

SahilPay respects Law No. 2013-015 of Mali. Data of Clients, Agents, and Merchants are collected for proper service functioning and kept for 10 years in accordance with BCEAO regulatory obligations.

Terms and Conditions Agreement

By activating your SahilPay account (Client, Agent, or Merchant), you acknowledge that you have read, understood, and accepted all terms of this Contract.
